What this agreement covers: By creating a buyer account on Rapideal, you appoint Rapideal as your introducer for the purpose of finding and acquiring property through the Rapideal Marketplace. In return, you agree to Rapideal's subscription and transaction fee structure — charged to you, never deducted from the seller's proceeds. Transaction fees range from 1.0% (Browse) to 0.5% (Portfolio) of the completed purchase price, minimum £500.
B2B Transaction Structure: Rapideal is transaction infrastructure for commercial property transactions between verified corporate entities. All buyers on the Rapideal platform are verified corporate entities (UK Limited Companies, LLPs, or institutional funds). All sellers are either (a) verified corporate entities or (b) individual private sellers disposing of property through a commercial transaction as defined under the Consumer Credit Act 2004 (exempt arrangements).
SRA Fee Disclosure: All conveyancing and related legal services facilitated through Rapideal's solicitor panel are provided by SRA-regulated solicitors. Referral commissions payable to Rapideal by panel solicitors are disclosed in accordance with SRA Transparency Rules 2019 and are funded from the solicitor's own fees — they do not increase the cost of legal services to the buyer.
No Regulated Credit: Rapideal does not arrange, provide, or facilitate regulated credit as defined under FSMA 2000. All financing arrangements between buyers and sellers are commercial arrangements between the parties, facilitated (not arranged) by Rapideal.
The Buyer: As identified in the Rapideal registration — you, and/or your nominated entity, company, or SPV.
Rapideal: A UK private limited company (company number [XXXXX]), whose registered office is [Address].
Rapideal operates a property marketplace. We are not your solicitor, conveyancer, financial adviser, or property manager. We introduce buyers to sellers.
Rapideal does not:
Access to the Rapideal Marketplace is governed by your chosen subscription tier. All tiers provide access to the deal feed and platform tools. Fees are charged monthly in advance.
All subscription fees are billed monthly in advance. Annual subscriptions are billed once per year and are non-refundable after the first 14 days. Cancellation: 30 days' written notice. Cancellation does not affect liability for transaction fees on deals introduced before cancellation.
This fee is charged to the Buyer on completion of a transaction. It is never deducted from the Seller's proceeds.
Transaction fees are calculated on the completed purchase price and vary by tier and property value. The fee is invoiced by Rapideal on or shortly after completion and is payable within 14 days of invoice.

For vendor finance purchases, the fee is calculated on the agreed purchase price — not the loan amount or any ongoing payment stream. Institutional tier fees are negotiated separately. All fees are exclusive of VAT where applicable.
Example: You are on the Investor Tier (£149/month) and complete a purchase at £425,000. Your transaction fee = £425,000 × 0.75% = £3,187.50, invoiced after completion. Your monthly subscription (£149) continues separately. The Seller receives the full £425,000 — your fee is separate and does not affect their proceeds.
The transaction fee is triggered when any of the following occurs in respect of a property first introduced to you via the Rapideal Marketplace:
The fee applies regardless of how the purchase is structured (vendor finance, cash, bridging, SPV, company, or personal name) and regardless of whether Rapideal was involved in the conveyancing.
Rapideal publishes each buyer's public track record at dealforge.co.uk/buyer/[id]/record. This record includes:
Buyers are encouraged to maintain accurate track records. Rapideal reserves the right to suspend or terminate buyer accounts where the track record is materially misrepresented.
Rapideal monitors every buyer's offer from initial expression of interest through to final instruction-stage offer. If your offer decreases by more than 5% from your initial figure, Rapideal will:
You remain free to adjust your offer at any time. However, sellers are under no obligation to accept a reduced offer, and Rapideal does not guarantee transaction completion.
Limitation of liability: Rapideal's total liability in connection with this agreement — whether in contract, tort, negligence, or otherwise — is limited to the total fees received by Rapideal from the Buyer in the 12 months preceding the event giving rise to the claim. Rapideal does not guarantee investment returns, property condition, or transaction outcomes.
During the subscription period, the Buyer agrees:
Introduction records are maintained by Rapideal's system. The date of first enquiry on the Platform is the record of when a property was introduced.
The Buyer may terminate their subscription at any time by providing 30 days' written notice. Subscription fees paid in advance for the current period are non-refundable after the 14-day cooling-off period.
Termination of subscription does not cancel the Buyer's liability for transaction fees on any Rapideal Introduction where the fee was triggered before the termination date.
Rapideal may terminate a buyer account with immediate effect for material breach of these terms or for misrepresentation of a buyer's track record or financial position.
This agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
By creating a buyer account on Rapideal (or ticking the acknowledgement box at signup), the Buyer confirms they have read, understood, and agree to be bound by this Buyer Agency & Access Agreement — including the subscription fee structure, transaction fee bands, and the price-drop protection and exclusivity provisions set out above.
